Our compliance program was purposely developed to help prevent and detect issues related to non-
compliance with regulations, laws, and industry codes.

Anti-Bribery and Anti-Corruption

All of HIGHRIDGE’s team members and business partners are required to act ethically and in compliance with all applicable laws, regulations, industry codes, and company policies. This expectation includes not being part of any bribery, kickback, or corruption-related activities.

HIGHRIDGE’s anti-bribery and anti-corruption policies have incorporated guidance related to interactions with healthcare providers and government officials, among other areas. These policies and procedures are reinforced regularly through training, auditing, and risk-based monitoring. We, at HIGHRIDGE, have a zero-tolerance policy when it comes to bribery and corruption.

Sales Health Compliance

HIGHRIDGE is committed to maintaining exemplary corporate conduct and the highest ethical standards. The Sales Healthcare Compliance Manual (the “Manual”) explains HIGHRIDGE’s compliance requirements and expectations for anyone who is employed by or contracts with HIGHRIDGE in connection with the promotion or sale of its products. (“Sales Personnel”).  Sales Personnel include HIGHRIDGE employees, Distributors, distributor employees, sales agents, and anyone else who may engage in sales activities on behalf of HIGHRIDGE.

All Sales Personnel are required to abide by HIGHRIDGE’s Code of Business Conduct and Ethics (“CoBCE”) and this Manual.  On an annual basis, Sales Personnel must certify in iLearn that they have received, understand, and shall abide by this Manual and the HIGHRIDGE CoBCE.

HIGHRIDGE, in its sole discretion and at any time, reserves the right to amend, modify, or otherwise change this Manual as needed and will provide notice of relevant changes to Sales Personnel.

Industry Code Compliance

HIGHRIDGE is committed to following applicable industry codes, which were developed to ensure relationships with healthcare professionals and other customers are carried out with transparency and the highest ethical standards. Adherence to ethical standards and compliance with applicable laws is central to the industry’s ability to collaborate with healthcare professionals as well as differentiating between appropriate and inappropriate activities between healthcare professionals and companies.

Without reservation, HIGHRIDGE strives to the spirit and the letter of the applicable industry codes or associations.

Speak Up: Report a Compliance Concern in North America

At HIGHRIDGE, we empower everyone to speak up when there are concerns. HIGHRIDGE worked with an independent third party to establish reporting system with global direct-dial telephone numbers where anyone may report of compliance concerns. This “Speak Up Hotline” allows callers to ask questions or report known or suspected compliance concerns related to violations in any of the following areas:

  • Applicable laws, regulations, and/or industry codes
  • Applicable laws, regulations, and/or industry codes
  • Applicable laws, regulations, and/or industry codes
  • Applicable laws, regulations, and/or industry codes

Concerns may also be reported about HIGHRIDGE’s accounting, internal controls, or auditing-related matters; or for any other general compliance concerns or issues.

We strictly prohibit retaliation, in any form, against a person who raises a good faith concern.

The Speak Up Hotline is available 24 hours a day, seven days a week. Reports are received by a trained operator at an independent third party provider.

Canal de denuncias de HIGHRIDGE, Speak Up en España

El Canal de denuncias de HIGHRIDGE, Speak Up (el “Canal”) está habilitado para que Ud. pueda informar de cualquier infracción, incumplimiento y/o no conformidad, o cualquier hecho que crea cree que puede ser contrario al ordenamiento jurídico, a la normativa sectorial y a las normas internas adoptadas por HIGHRIDGE, incluido el Código de conducta y ética empresarial de HIGHRIDGE. El Canal está abierto a cualquier persona (incluidos empleados o socios de negocio de HIGHRIDGE, personas en proceso de selección, voluntarios, becarios, contratistas, subcontratistas y proveedores).

Los hechos que se pueden comunicar a través del Canal son:

  • Infracciones al derecho de la Unión Europea.
  • Toda actuación contraria a la normativa legal vigente y aplicable.
  • Toda actuación que pueda ser constitutiva de infracciones nacionales administrativa y/o penales graves o muy graves.
  • Toda actuación que pueda ser constitutiva de infracciones laborales en materia de seguridad y salud en el trabajo.
  • Toda actuación que pueda ser contraria a las normas sectoriales vigentes.
  • Toda actuación contraria a las pautas de actuación establecidas en el Programa de Compliance Penal de la Compañía, las políticas y procedimientos de HIGHRIDGE y el Código de Conducta y Ética Empresarial de HIGHRIDGE.
  • Toda actuación que pueda dañar a la reputación y la buena imagen corporativa de la Compañía.

HIGHRIDGE garantiza su confidencialidad si facilita su identidad durante el proceso de informe de una denuncia. En el caso de que desee informar de forma anónima a través del Canal, HIGHRIDGE garantizará su anonimato. El proceso de gestión y tramitación de su comunicación se realiza por un equipo independiente, imparcial y objetivo. Los posibles conflictos de interés se analizan y se toman medidas para evitarlos y asegurar un proceso imparcial.

HIGHRIDGE no tomará represalias contra Ud., ni de forma directa ni indirecta, siempre que haya utilizado el Canal de Denuncias de forma razonable y de buena fe. Recuerde que Ud. es responsable en todo momento de la veracidad de su identidad (en caso de facilitarla) y de toda la información comunicada a través de este Canal. La compañía tomará medidas en el caso de que una denuncia se haya hecho de mala fe y/o con conocimiento de la falsedad de los hechos.

Asimismo, en cumplimiento con la ley 2/2023, de 20 de febrero, reguladora de la protección de las personas que informen sobre infracciones normativas y de lucha contra la corrupción, le recordamos que puede utilizar los canales de las autoridades competentes en aquellos casos en los que, habiendo realizado una comunicación a través del Canal de HIGHRIDGE, no haya recibido respuesta en los plazos legales previstos, o una vez la tramitación de la comunicación haya finalizado. Canale di segnalazione di HIGHRIDGE Speak Up - Italia

Il Canale di segnalazione Speak Up di HIGHRIDGE (il “Canale”) è abilitato a segnalare eventuali violazioni, non conformità e/o inadempienze, o qualsiasi fatto che si ritiene possa essere contrario alla legge, alle normative di settore e alle regole interne adottate da HIGHRIDGE, compreso il Codice di condotta ed etica aziendale di HIGHRIDGE. Il Canale è aperto a chiunque (compresi i dipendenti o i partner commerciali di HIGHRIDGE, le persone in fase di assunzione, i volontari, gli stagisti, gli appaltatori, i subappaltatori e i fornitori).

Le segnalazioni che possono essere inoltrate attraverso il Canale sono::

  • Violazioni del diritto dell’Unione Europea.
  • Atti od omissioni che ledono gli interessi finanziari dell’Unione;
  • Atti od omissioni riguardanti il mercato interno;
  • Atti o comportamenti che vanificano l’oggetto o la finalità delle disposizioni di cui agli atti dell’Unione.
  • Qualsiasi azione contraria alle norme giuridiche vigenti e applicabili.
  • Qualsiasi azione che possa costituire un illecito amministrativo e/o penale grave o molto grave.
  • Condotte illecite rilevanti ai sensi del decreto legislativo 231/2001, o violazioni dei modelli di organizzazione e gestione ivi previsti.
  • Qualsiasi azione che possa costituire un’infrazione in materia di salute e sicurezza sul lavoro.
  • Qualsiasi azione che possa essere contraria alla normativa di settore.
  • Qualsiasi azione contraria alle disposizione del Modelo di
  • Organizzazione, Gestione e Controllo, alle politiche e alle procedure di HIGHRIDGE e al Codice di condotta ed etica aziendale di HIGHRIDGE.
  • Qualsiasi azione che possa danneggiare la reputazione e la buona immagine aziendale della Società.

HIGHRIDGE garantisce la vostra riservatezza se fornite la vostra identità durante il processo di segnalazione. Se desiderate fare una segnalazione anonima attraverso il Canale, HIGHRIDGE vi garantirà l’anonimato. La vostra segnalazione viene gestita ed elaborata da un team indipendente, imparziale e obiettivo. Vengono analizzati i potenziali conflitti di interesse e vengono adottate misure per evitarli e per garantire un proceso di gestione della segnalazione equo.

HIGHRIDGE non si vendicherà contro di voi, né direttamente né indirettamente, a condizione che abbiate utilizzato il Canale di segnalazione in modo ragionevole e in buona fede. Ricordate che siete sempre responsabili dell’accuratezza della vostra identità (se fornita) e di tutte le informazioni comunicate attraverso questo Canale. La Società prenderà provvedimenti nel caso in cui una segnalazione sia stata fatta in malafede e/o con la consapevolezza della falsità dei fatti riportati.

Signalement des problèmes de conformité et d’étique Speak Up en France

La ligne de signalement Speak Up de HIGHRIDGE (la ” ligne de signalement “) vous permet de signaler toute violation, non-conformité et/ou non-respect, ou tout fait que vous estimez contraire à la loi, á la réglementation ou aux règles internes adoptées par HIGHRIDGE, y compris le Code de conduite et d’éthique de HIGHRIDGE. Le canal est ouvert à tous (y compris aux employés ou partenaires commerciaux de HIGHRIDGE, aux personnes en cours de recrutement, aux bénévoles, aux stagiaires, aux entrepreneurs, aux sous-traitants et aux fournisseurs).

Les faits qui peuvent être signalés par l’intermédiaire de la ligne de signalement sont les suivants:

  • Un crime, une infraction, une menace ou un préjudice pour l’intérêt public.
  • Une violation ou tentative de dissimulation d’une violation d’un engagement international régulièrement ratifié ou approuvé par la France, d’un acte unilatéral d’une organisation internationale pris sur le fondement d’un tel engagement ou une violation ou tentative de dissimulation d’une violation du droit de l’Union européenne.
  • Une violation ou tentative de dissimulation d’une violation de la loi ou d’un règlement national.
  • Toute action susceptible de constituer des infractions au droit du travail et notamment dans le domaine de la santé et de la sécurité au travail.
  • Toute action susceptible d’être contraire aux règles sectorielles en vigueur.
  • Toute action contraire aux politiques et procédures de HIGHRIDGE et au code de conduite et d’éthique professionnelle de HIGHRIDGE.
  • Toute action susceptible de nuire à la réputation et à l’image de marque de l’entreprise.

HIGHRIDGE garantit votre confidentialité si vous déclinez votre identité au cours de la procédure de signalement. Si vous souhaitez faire un signalement anonyme à travers la ligne Speak Up, HIGHRIDGE garantira votre anonymat. Votre signalement est traité par une équipe indépendante, impartiale et objective. Les conflits d’intérêts potentiels sont analysés et des mesures sont prises pour les éviter et garantir une procédure équitable.

HIGHRIDGE ne prendra pas de mesures de rétorsion à votre encontre, que ce soit directement ou indirectement, tant que vous avez utilisé la ligne de signalement de manière raisonnable et en toute bonne foi. N’oubliez pas que vous êtes responsable à tout moment de l’exactitude de votre identité (si vous l’avez fournie) et de toutes les informations communiquées par le biais de cette ligne. L’entreprise prendra des mesures si un signalement a été fait de mauvaise foi et/ou en connaissance de l’inexactitude des faits.

En outre, conformément à la loi No. 2016 – 1691 du 9 décembre 2016 relative à la transparence, à la lutte contre la corruption et à la modernisation de la vie économique, modifiée par la loi No. 2022 – 401 du 21 mars 2022, visant à améliorer la protection des lanceurs d’alertes, nous vous rappelons que vous pouvez utiliser les lignes de signalement externes auprès de diverses autorités selon la nature du signalement et notamment le Défenseur des droits, l’autorité judiciaire ou une institution/ organe/ organisme de l’Union européenne compétente. Le décret No. 2022 – 1284 du 3 octobre 2022 (lien à la page web) liste des autorités extérieures habilitées à recueillir et à traiter les signalements en France.
